Welcome to HIVEZIFY ("we", "our", or "us"). By accessing hivezify.com (the "Website") or purchasing/using our AI automation agency services, you agree to comply with and be bound by the following Terms of Service. Please review these terms carefully.

1. Agreement to Terms

By using this Website or our services, you confirm that you are at least 18 years old and possess the legal authority to enter into these Terms. If you do not agree to all of these Terms, you are prohibited from using the Website and our services.

2. Services Provided

HIVEZIFY designs, builds, and integrates custom artificial intelligence applications (including website/WhatsApp chatbots, voice-calling agents, CRM integrations, and workflows) for business client use. The scope of work, pricing, timelines, and delivery details for individual projects are governed by separate, signed Statements of Work (SOW).

3. Client Responsibilities

To implement our AI automations, you agree to:

• Provide accurate, up-to-date business documentation, FAQs, and scripts to train the AI models.
• Provide necessary system access or API tokens when integrations are required (e.g., CRMs, messaging platforms).
• Ensure your use of our deployed AI tools complies with local regulations, including laws regarding telemarketing, customer outreach (e.g., TCPA), and data collection in your region.

4. Fees, Billing, and Subscriptions

• Setup Fees: Deployed custom AI integrations require an upfront setup fee as detailed in your package selection or custom contract. Work begins upon receipt of payment.
• Monthly Support & Maintenance: Continued hosting, API maintenance, model calibration, and technical support require a recurring monthly subscription. Subscription payments are billed automatically.
• Refunds: Setup fees cover developer and computational resource hours and are non-refundable after implementation work begins. Monthly subscription fees are non-refundable but can be canceled at any time to prevent billing for the next cycle.

5. Intellectual Property

Our custom setups use third-party underlying APIs (e.g., OpenAI, VAPI, Twilio, Make, Zapier). Subject to full payment of all fees, HIVEZIFY grants you a non-exclusive, royalty-free, perpetual license to use the custom-coded workflows, training scripts, and chatbot configurations we build for your business operations. HIVEZIFY retains intellectual rights to reusable software frameworks, general templates, and operational proprietary techniques.

6. Limitation of Liability

To the maximum extent permitted by law, HIVEZIFY shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues (including losses from AI hallucinations, customer calls dropped, or API service provider downtime).

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions.
